Terms of Service

1. Agreement to Terms

By accessing or using Articulate's construction procurement and automation platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Use of Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Upload malicious code, viruses, or harmful content
  • Use the Service to transmit spam or unsolicited communications
  • Reverse engineer or attempt to extract source code

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorized access

4. Subscription and Payment

  • Pay all fees associated with your subscription plan

  • Authorize automatic recurring charges unless you cancel
  • Understand that fees are non-refundable except as required by law

We reserve the right to modify our pricing at any time, with notice to existing subscribers.

5. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Articulate and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of the content you upload to the Service. By uploading content, you grant Articulate a license to use, store, and process that content solely to provide the Service.

6. User Content

You are responsible for the content you upload to the Service. You represent and warrant that:

  • You own or have the necessary rights to the content
  • The content does not violate any third-party rights
  • The content complies with these Terms and applicable laws

We reserve the right to remove any content that violates these Terms or is otherwise objectionable.

7. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may:

  • Perform maintenance that temporarily interrupts service
  • Modify or discontinue features at any time
  • Suspend access for security or compliance reasons

8. Limitation of Liability

To the maximum extent permitted by law, Articulate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers
  • Any interruption or cessation of the Service
  • Any bugs, viruses, or other harmful code transmitted through the Service

9. Indemnification

You agree to indemnify and hold harmless Articulate, its affiliates, officers, agents, and employees from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any content you submit or upload to the Service

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • You remain liable for any outstanding fees
  • We may delete your data in accordance with our data retention policy

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

12. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
